TERMS AND CONDITIONS
1. Odesa agrees to carry out the work specified by the Client and maintain a high level of service during the contract period, however, shall not be responsible for the removal of paint, varnish, oil or any other similar substances unless otherwise agreed in writing.
2. Odesa is insured with Public Liability Insurance Cover (subject to a limit of £1,000,000 for any single claim) which protects the Client’s office/premises against any loss or damage. If such loss/damage is caused directly by negligence of its employees. In all cases, the details of loss/damage must be sent to Odesa in writing within 48 hours of the loss/damage has been done.
3. If the Client believes that the performance of the service is not adequate, Odesa shall take all necessary action, without any cost to the Client, to investigate and rectify the complaint, provided that all complaints regarding Odesa’s performance must be sent to Odesa in writing within 48 hours of the complaint arising.
4. In the event of the loss of a key, Odesa will be responsible only for the cost of the replacement of the key, not for any other consequential costs.
5. The Client shall pay the contractual price and any other sums due in accordance with terms of payment stated in this contract.
6. Every effort must be made by the Client to ensure that the premises, where work is to be carried out under this contract, comply with all Governmental Health and Safety Legislations.
7. All lighting, heating, hot water and any facilities which may be required by Odesa, and a suitable and safe place for such machinery and material as Odesa wish to leave on the premises, shall be provided free of charge to Odesa staff whilst cleaning premises.
8. The Client shall ensure that all electrical appliances carrying high voltage shall be in a safe condition or switched off during the cleaning service is being carried out. The Client shall provide Odesa with full information about any hazards to Health and Safety that may exist during the contract period and indemnify Odesa in respect of any damage to property, injury or death suffered by a Odesa employee or agent in the Client’s premises and which is attributable to the Client’s negligence or default.
9. Odesa will invoice the Client monthly and each invoice will be due for payment within 7 days of the commencement of each monthly period. Odesa reserves the right to discontinue work, if payment is not made within these terms.
10. Subject to above paragraph, the contract will run continuously and may be terminated by either party giving to the other 1 months notice in writing. If the Client terminates the contract without giving the required notice, the Client will compensate Odesa (whether or not cleaning services are provided during that period) for the price of the service for the duration of the period during which such notice should have been given.
11. Should Odesa be prevented by the Client, its servants or agents from carrying out its required duties, Odesa shall be considered as having performed those obligations and therefore sum due for the current period shall still be payable. A failure by Odesa to perform it obligations under this contract by reason of fire, explosion, epidemic, accident, industrial dispute act or terrorism or any other cause outside the company’s control will not constitute a breach of this contract. Please note that Odesa accept no obligations in connection with the operation of any alarms or security devices on the Client’s premises by its employees. The operation of such equipment by Odesa employee is considered a matter of goodwill only assist the Client, so Odesa will not accept liability for incorrect operation of such equipment.
12. Odesa reserves the right to make any changes to any part of these terms and conditions.
